1. Acceptance
By accessing, registering for, or using any Lakesis product, platform, or service ("Services"), you confirm you have read, understood, and agreed to these terms. If you accept on behalf of a company, you represent that you are authorized to do so.
2. Services
Lakesis provides:
- Lakesis Platform: enterprise Agent intelligence foundation (AaaS)
- Scenario Agent products: Legal, Investment Triage, BOM Substitution, Invoice, Report Drafting, Voice, Site Concierge
- Professional Services: FDE forward deployment, integration, private deployment, fine-tuning, architecture consulting
Specific service scope, SLA, pricing, and payment terms are governed by the executed MSA and corresponding SOW. These terms provide baseline rules for trial accounts, community editions, demo access, and website use.
3. Accounts and credentials
- Provide accurate, complete registration information and keep it updated
- Safeguard your credentials; all activity under your account is your responsibility
- Notify [email protected] immediately of unauthorized access
- Enterprise admins manage all accounts under their company domain
4. Acceptable use
You shall not:
- Use Lakesis to violate Chinese law or the law of any destination country
- Attempt to bypass, break, or interfere with security mechanisms, quotas, or rate limits
- Decompile, reverse-engineer, or perform unauthorized security testing on the Lakesis platform
- Use crawlers or automated scripts to scrape service content (contractual APIs excepted)
- Generate or distribute content that infringes third-party IP, privacy, or trade secrets
- Use Lakesis to train or fine-tune products that directly compete with ours
5. Intellectual property
5.1 Lakesis IP
The Lakesis platform, Agent products, source code, model weights, documentation, trademarks, design, and brand remain the property of Shenzhen Zeqing Technology Co., Ltd. and its licensors. No rights or licenses are granted to you except as expressly stated in these terms.
5.2 Customer Data
Business data you upload or process through Lakesis ("Customer Data") remains yours. You grant Lakesis a limited license to process Customer Data only as necessary to deliver the Services. Lakesis does not use Customer Data to train general-purpose models for other customers.
5.3 Output
Agent output generated based on your Customer Data and prompts belongs to you. You understand that LLM outputs may be inaccurate or incomplete due to inherent technical limitations, and critical business decisions should include human review.
6. Billing and payment
Fees, billing cycles, and payment terms for paid services are governed by the SOW. Overdue payments may result in service downgrade or suspension. All fees are settled in RMB (foreign currency by agreement). Paid fees are non-refundable unless otherwise agreed in writing or required by law.
7. SLA and availability
Production-tier paid customers receive a 99.9% monthly availability SLA. Specific remedies (service credits / monthly offset) are detailed in the SOW appendix. Free trials, demos, and community editions provide no SLA.
8. Confidentiality
Both parties maintain confidentiality regarding non-public business information, technical materials, customer lists, and pricing obtained in the course of cooperation. Disclosure to third parties without prior written consent is prohibited. Confidentiality persists for at least 5 years after termination.
9. Disclaimer and liability limits
Except as mandated by law, Lakesis is not liable for indirect, incidental, special, or consequential damages (including but not limited to lost profits, business interruption, data loss) arising from your use or inability to use the Services. Lakesis's cumulative liability shall not exceed the fees actually paid by you in the 12 months preceding the event giving rise to the claim.
10. Termination
- You may cancel your account at any time, but fees already incurred and rights/obligations within the service period are not refundable
- Lakesis may unilaterally terminate for material breach of these terms, with email notice
- You have 30 days post-termination to export Customer Data; thereafter, it will be handled per the privacy policy and DPA
11. Governing law and dispute resolution
These terms are governed by the laws of the People's Republic of China. Any dispute shall first be resolved by good-faith negotiation; failing that, either party may bring suit at the People's Court of Nanshan District, Shenzhen.
12. Changes
Lakesis may update these terms periodically. Material changes will be announced via email or a prominent notice on the site at least 30 days in advance. Continued use constitutes acceptance.
